Terms and Conditions

Please read these Terms and Conditions carefully. All contracts that KOSMOPOLITAN enters into for the provision of design services shall be governed by these Terms and Conditions.

1. Terms
   1. The contract shall come into force upon the payment date
   2. The contract shall continue in force until all the requested services have been completed and delivered
   3. Each order shall create a distinct contract under these Terms and Conditions
2. Services
   1. KOSMOPOLITAN shall provide the services to the client in accordance with these Terms and Conditions
   2. KOSMOPOLITAN shall provide the services in accordance with the standards of skill and care reasonably expected from a leading service provider in the design and architectural industry
   3. KOSMOPOLITAN is not an employee of the client, but an independent contractor
3. Deliverables
   1. KOSMOPOLITAN shall deliver to the client:
      • Electronic (PDF, JPEG or PNG) drawings as corresponding to the description and quantities indicated in the order form
      • The opportunity to purchase the architectural and design material necessary to implement the project via KOSMOPOLITAN sales agents
   2. The Client must promptly, following receipt of a written request from KOSMOPOLITAN to do so, provide written feedback to KOSMOPOLITAN concerning the proposals, plans, designs and/or preparatory materials relating to the services to be delivered
   3. KOSMOPOLITAN shall use reasonable endeavours to ensure that the deliverables are delivered to the client in accordance with the timetable agreed with the client
   4. KOSMOPOLITAN warrants to the client that:
      • the deliverables will conform with the requirements indicated in the description provided at www.kosmopolitanonline.com;
      • the deliverables will be free from technical defects; and
      • the deliverables will not:
        • breach the provisions of any law, statute or regulation
        • infringe any third party’s Intellectual Property Rights
        • give rise to any cause of action against the client
4. Fees
   1. Fees are fully paid in advance by credit/debit card in accordance with these Terms and Conditions
   2. All amounts stated on www.kosmopolitanonline.com are exclusive of any applicable value added taxes, which will be added to those amounts and are payable by the client
   3. KOSMOPOLITAN shall issue invoices for the fees to the client in advance of the delivery of the relevant services to the client
5. Limitations and exclusions of liability
   1. These Terms and Conditions exclude any liability on the side of KOSMOPOLITAN for imprecise or misrepresented information submitted by the client
   2. KOSMOPOLITAN shall not be liable to the client in respect of any loss of anticipated savings, revenue or income following the implementation of the suggested architectural or design project
   3. KOSMOPOLITAN shall not be liable to the client in respect of any loss of business, contracts or opportunities following the implementation of the suggested architectural design or project
   4. KOSMOPOLITAN shall not be liable to the client in respect of any special, indirect or consequential loss, damage or injury following the implementation of the suggested architectural design or project
6. Termination
   1. The client may terminate the contract by giving to the other party written notice of termination
   2. KOSMOPOLITAN may terminate the contract by giving to the other party written notice of termination and by refunding the full fees paid by the client
   3. Under no other circumstances paid fees will be refunded to the client
